Affected by the trend of economy globalization, social informationization and complicated influence of market, the global market competition is fiercer at present. China has entered into WTO, and its economy is now in transition period, social changes make the market much more volatile. As a core part of China's economic reform, China's State-owned Enterprise Group (SOE enterprise group) will be facing a more and more volatile market environment.China's large-scale SOE enterprise group mainly grows up from state-owned enterprises going through transition from the planning system, therefore, whether SOE enterprise group can adapt to the changed external environment through its internal organizational changes, will be the most important part in China's reform on SOE enterprises. Among them the organizational structure change is playing a key role in its organizational change. Therefore, the purpose of the thesis is to analyze the trend of structural change of China's large-scale SOE enterprise group under current changed market environment.This thesis includes four chapters totally. The first chapter, the thesis expatiated on the significance of its research purpose, then the second chapter came a systematic review on organizational structure theory; The third part is that through thorough analysis on large-scale SOE enterprise group, it figured out the motives and resistance of its structural organizational changes, and further more analyzed the problems on this field embedded in large-scale SOE enterprise groups. Finally, in the fourth chapter, the thesis drew the conclusion that only parent-subsidiary structured company is the fittest organizational structure in that it not only can adapt to current changeful environment, but can suit large-scale SOE enterprise groups' inherited characteristics. This thesis suggested that the direction of the organizational structural change is flat organization, and meanwhile it offered some thoughts to solve the problem.
