| As a new organizational innovations of corporate governance structure, MBO receives the company managers' welcome. It has solved some deep level problems which puzzled china's corporate reform for a long time, such as owner vacancy problem, agency costs problem, incentive and monitoring problem etc. Now for pushing-on the state-owned enterprises' reform which aim at the state-owned enterprises (SOEs) quit and the private-owned enterprise entry as well the separation of ownership and control , MBO has the widespread development space in our country . But because the promulgation of law and regulations relatively lags behind the MBO's practice and some law and regulations are not supervised properly, there are some problems in practice process. These cause many scholars' doubt and criticism and lead to a large-scale debate against the SOEs reform's directions and roads. Thus these affect the SOEs reforms' next directions and speed. According to china's actual situation, this article explores many concrete questions in carrying-on MBO after studying massive materials. These questions include theory basis, practical significance application and existent questions as well corresponding countermeasures. |
