With booming of economy and evolution in mode of production, university plays a more and more important role during the process of human culture innovation. And based on above factors, the concept of "university governance" is turning to be a world-wide tendency. That tendency makes university tightly connected with society innovation activities. If the university runs in the governance way, it would be more open and fast-reflection.Inseparably, governance operation must be deployed by governance mechanism. And the mechanism is divided into inside and outside-the former one is composed by stakeholders of government/market/civil, and teachers/administrators/students consist of the latter one. The stakeholders in outside mechanism offer the resources and policy atmosphere of university and the inside ones transfer above factors into the form which fulfilled the outsiders needs. In the process of above, multi-mainstays join to university's improving issues and ensure the university has a more bright future.So I prepared to do an universities'comparative study from the view of stakeholder theory, which based on detailed compare between E and W universities along with the dimensions of their governance mechanisms. By analyzing, I think the incompletement of governance framework, the inappropriate of governance tools and imperfect of governance mechanism are mainly problems in current Chinese universities'governance practice.
