Innovation are from the academic vitality in Higher Education, but professors do notexpress idears.The reform of the university management system calls loudly.In thisbackground, as a democratic managing thought and pattern, faculty gonvnance ismentioned again.The university management need use stakeholder theory. According to thistheory, the traditional corporation management pursues the shareholder supremacytheory, but it was criticized by the stakeholder theroy which emphasizes that not onlythe shareholders effect the survival and development of the corporation but also otherstakeholders influence it. No matter the public university or the private university,universty is a typical stakeholder organization in which the professors who are thecore stakeholders take shares by using their own human capital, so they have the rightto participate in the academic management and decision-making of university.Therefore in the context of the headmaster-in-charge system led by communist partycommittee, it is significant for deepening the reform of higher education to establishthe management pattern of professor managing. Firstly, the paper analyses the currentsituation of the faculty gonvnance in Chinese university. The content include thetheoretical basis; the choice of the questionnaire design and investigation sample; thecurrent situation of professor autonomy; the reason analysis of the existed problem.Secondly, the paper analyses stakeholder theory and the right as well as status of theprofessor. The content includes the academic management that the professors who arethe core stakeholders of the universtiy have the right to participate in it. Once more,the paper analyses the power operating pattern of the professor managing in westernuniversity. This part researches the power operatiing pattern of the professormanaging in Germany, Britain, and USA so that it offers the reference for theestablishment of managing pattern of professor managing in Chinese university.Lastly, the paper establish managing pattern of the faculty gonvnance in Chineseuniversity.The content include the relevant support of the national policy andstrengthening the status of university corporation; universities to the Chief and to empower the faculty gonvnance; establishment of professor convocation system.Thismodel has a very important theoretical and practical significance for the reform of themodern university system.
