Recently, with integrative trend of world economy under the readjustment ofindustrial structure, constant technological innovation is the power to keep sustainabledevelopment of enterprises and countries. Because of the scarcity of resources and thelimitation of enterprise competence, enterprises rely on their own to complete theinnovation project has appeared to be inadequate, cooperative innovation is brought intobeing. The vertical cooperative innovation between enterprises is a cooperation modelbetween the upriver corporations and the downriver corporations under supply chainenvironment.This kind of cooperative innovation has more synergistic effect to increasethe success rate of innovation because its simple cooperation model and the strongcomplementarities between corporations in different industries.The cooperative relationship between Telecoms Operators and Service Providers isa typical model of vertical cooperative innovation between enterprises undervalue-added service industry chain in the development of value-added service. Becauseof the single cooperative relationship, the major cooperation model is the sharing modelbetween both sides. But the limitation of control of Service Providers of TelecomsOperators led partial Service Provider performing low cost cheating by the large lust ofeconomic interests; this behavior put the Telecoms Operators into the dilemma of largesupervisory cost and large reputation loss, and also put the development of value-addedservice into a vicious circle.In view of the inadequacy of existing studies of cooperative innovation betweenenterprises compare with the large number of studies of industry–university–researchcollaboration innovation, this paper discuss the vertical cooperative innovation betweenenterprises, and chose the cooperation between Telecom Operator and Service Provideras an example to illustrate. This paper base on the Transaction Cost Theory, GameTheory, Incentive Theory, Revenue-sharing contract Theory, and apply the method ofCase Study, building mathematical model, the combination of qualitative andquantitative to discuss the loss of both sides’ interests under recent cooperation model,besides, this paper optimize recent cooperation model from two sides of cooperation mechanism and incentive mechanism, and validate the new model by the use ofsoftware of Mathematica, Matlab and so on.The result shows that the vertical cooperative innovation between enterprises notonly benefit the development of innovation for both side, but also improve the interestof the whole supply chain. The cooperation between Telecom Operators and ServiceProviders in the development of value-added service industry, the form of “access fee+internet fee for every time” is more benefit for both sides to keep health and stablecooperative relationship, furthermore, the Incentive Mechanism of co-research alsohelpful to maintain the further cooperation relationship between both sides.
