With the application and development of information technology in the education filed, the software products for distance education are becoming more and more popular to users. In order to fulfill the requirement of education market development and adapt to the cruel market competition, modern distance education software systems are not only becoming larger and larger, but also upgrading more and more quickly. As for this kind of large software project, the software R&D is very important, while effective project management is the key to guarantee the successful implementation of the project and achieve the objectives as well. Furthermore, as we all know risk management is one of the most important parts of the software project management. This paper conducted research and discussion from two perspectives: the software R&D and the risk management for software project.This paper took the "distance education network system" as an example, and analyzed the process of the system development and risk management from the technology and management perspectives respectively. First, this paper given the detailed technique solutions of the distance education network system from the point of view of software project development, then introduced one of core subsystems, namely the distance online training subsystem. Second, this paper proposed a complete risk management framework, according to various kinds of risks which integrated software development, software procurement, software outsourcing, project management, and other information security factors. This risk management framework is based on the typical SEI risk management model, which is suitable to the characteristics of the software project. In this risk management framework, we analyzed the risks faced in different development phases by utilizing a novel method, which combined the Risk Assessment Code (RAC) with the Analytic Hierarchy Process (AHP), then presented some measures to control these risks. Through the careful analysis of the risk and the corresponding risk control measures, the project implementer could ensure this project forward smoothly and achieve the final goal. At the same time, such a risk management framework can be applied for the future risk management in similar software projects and can bring benefits for those software projects.After the completion of the "distance education network system", this system has been tested and evaluated completely by Shanghai Key Laboratory of Computer Software Testing&Evaluating. The evaluation results show that this system has a good software product quality.
