How companies realize the sustained growth is not only the goal of the enterprise, but also the focus of the theoretical circles. Since the1980s, the enterprise revolution practice has experienced restructuring and recycling two reforms. And then in the late1990s, the enterprise revolution has entered a new era of transf-ormation. Now, more and more companies choose transformation as an important means to achieve corporate revival and sustainable growth. China is a rich country in resource and the development of economy is driven by resource-based enterprises. The resource-based enterprises which rely on the the resources play a vital role in the national economic system. More and more resource-based enterprises which as outstanding representative of China’s listed companies group’s select to transfor-mation which plays an important role in the economic transformation. The trans-formation of resource-based enterprises are affected by many factors. However, the current literature that from microscopic level study enterprise transformation is less. The research of factors which affect enterprise transformation is the weak point of the enterprise transformation and the majority focuses on theoretical research, empirical evidence is less.Therefore, we not only study the concept and classification of enterprise trans-formation, but also study the factors which affect enterprise transformation on the basis of existing research results. In the paper, we reclassified business transfor-mation model. Specifically, we use2007-2012Shenzhen and Shanghai A-share listed company of resource-based enterprises as the study sample, examines the impact of environmental regulation and technological innovation on enterprise transformation models. The results show that the enterprise technology innovation, environmental regulation has a positive effect on the enterprise industrial transformation respectively, and enterprise technology innovation enhances the effect that the environmental regulation on the transformation of enterprise industrial transformation. Environm-ental regulation has a positive effect on the enterprise expandable transformation, the enterprise technology innovation has no effect on the enterprise expandable transformation, and enterprise technology innovation has not enhance the effect that the environmental regulation on the transformation of enterprise industrial transformation. Based on these conclusions, we propose some policy recommenda-tions as follows:the enterprises should continue to strengthen technological innova-tion which can promote the enterprises industrial transformation; in order to prom-ote enterprise transformation, the government should improve the standard and intensity of environmental regulation; at the same time,the government should choose the environmental regulation policy instruments which can maximize encourage resource-based enterprises transformation; As the proportion of resource-based enterprises transformation is low, the resource-based enterprises should turn to the new energy and other knowledge-based enterprises.
