An Analysis Of Common Terms And Conditions Of English Contracts: A Translation Report For The Technology License Agreement Between A123Systems And IHI Corporation

This is a translation report for the TECHNOLOGY LICENSE AGREEMENT made andentered into by and between American A123Systems, Inc. and Japanese IHI Corporation onNovember3,2011. The licensor is American A123Systems, Inc., which not only masters theexcellent lithium ion battery technology, but also is a vertically integrated provider ofadvanced lithium ion batteries and battery systems. The licensee, IHI Corporation, is one ofthe largest industrial equipment manufacturers in Japan. According to the agreement, IHI willbe the exclusive provider of A123battery systems and modules in the Japanese transportationmarket to provide services for potential customers of Japanese industrial and marinetransportation market.The translation report is composed of four chapters. Chapter one is introduction,consisting of the background, objectives，significance of the project, and layout of the report.The report, taking the English legal instrument as the source text, has two goals: translatingcorrectly and summarizing translation methods properly. Thereby in the background oftoday’s economic globalization, it has the translation significance of suggesting about thetranslation methods on English contracts and the social significance of popularizing theknowledge about reading English contracts and protecting the intellectual property right.Chapter two is about the source text, introducing the concept of the technology licenseagreement and analyzing of the content, structure and language characters of the ST. Chapterthree is translation difficulties and methodologies. In this part the author introduces thetranslation preparations in detail, the selection and the study of the typical sample sectionaccording to the system structure of an English contract to guide the following translation.Chapter four is conclusion. The author summarizes the experiences, lessons and findsunsolved problems in the project through the reflection on the translation process, hoping tomake positive and helpful attempts at the development of legal translation in the future.
