State-owned enterprises are the core component and the realization form of the public ownership economy in our cou ntry, which play a very important role in consummating the socialist market economic system. It is significant in promoting the reform of state-owned enterprises, developing mixed ownership economy, promoting the stability and development of state-owned economy, and consummating business entity governance structure to establish professional manager system in state-owned enterprises. The first part of the thesis summarizes research background, significance and domestic and foreign status of state-owned enterprise professional manager system; the second part discusses the basic situation of state-owned enterprises and professional managers; the third part focuses on analyzing the problems existing in the process of professional manager system establishment in state-owned enterprises; the fourth part proposes specific measures of system establishment of professional manager in state-owned enterprises. The innovation of this thesis is to put forward the institutional form establishment centered on The Interim Regulations on Supervision and Management of the State-owned Enterprise Professional Managers, and by which formats regulations of professional managers on subject qualification, rights and obligations, and of the market, incentive and constraint mechanism, i n order to establish the system of professional manager in state-owned enterprises preferably.
