Since the reform and opening-up, private colleges in our country have developed rapidly, and both thescale extension and education quality of them have been improved greatly. However, there are also manyproblems in their process of development, such as the internal operation is not standard, lack of the boardof directors system, rights and interests of teachers and students can not guaranteed, etc. In essence,unsound internal governance structure is one of the great causes. In different countries and regions of theworld, the development of higher education is diversity. So, it is particularly important to study thereasonable and effective internal governance structure and obtain experience from other countries andregions.This study is based on the governance theory and stakeholder theory, has used literature analysis,case analysis and comparative analysis to study the internal governance structure of private universities inTaiwan, in order to get an inspiration to develop the internal governance structure of private universities inmainland.This paper consist of five parts.The first part is introduction, which mainly elaborated the researchbackground, research purpose and significance, research status and research contents, and defined the coreconcepts.The second part summarized the historical evolution of the internal governance structure ofprivate colleges in Taiwan.This study considers its historical evolution can be divided into four stageswhich are inheriting and recovery stage, forming stage, reform and adjustment stage and gradually perfectstage,and come to conclusions that the driving force of the evolution are the influence of democratizationtide and the impact of higher education marketization,the evolution process also reflects the guide valuechanged from the democratic aspirations to improve the performance.The third part take the basis of theinternal governance structure of private higher education institutions in Taiwan as a startingpoint,elaborating the four core elements of internal governance structure which are board of trustees,principals, school, supervisor, from the origin, functions, structure and operation aspects,arrival at aconclusion that not only the four elements mutual restriction and supervision,but also its operationreflects the spirit of deliberative governance.The fourth part based on the study of the Chung YuanChristian University’s board of trustees, administrative system, academic system and studentgroups,analysis its internal governance characteristics.The fifth part through the research of the abovechapters, revealed the internal governance structure of private higher education in Taiwan has some of thefeatures which are the balance of powers, democratic governance, faculty governance, students’autonomous, and put forward many of which are good reference to improve the internal governancestructure of private universities,there are perfect the laws and regulations of private higher educationestablish the system of board of directors, establish the internal supervision mechanism and safeguard theright to participate in decision-making of professors and students.
