The purpose of school-enterprise cooperation is to train outstanding professional talent. On the one hand, vocational schools have limited resources, so they hope to cooperate with enterprises; on the other hand, companies need excellent skilled personnel, so they need to participate in vocational education. Both demands determine the likelihood of school-enterprise cooperation.Using questionnaire,choosing 69 vocational schools and 85 companies in the southern region of China as examples,and using SPSS(19.0 version) statistical software for statistical data analysis to identify the different attitudes toward the two sides cooperate. The study found that the core issue is the unequal exchange in the course of the cooperation between the vocational school and the enterprise, including both of costs and benefits of cooperation. Both believe that their pays for the cooperation are higher than the other, including administrative costs, the workload of teachers, teachers’ salaries and other guidance. There are eight areas of enterprises’ satisfaction which were significantly lower than schools. The main reason is due to the unequal exchange, including: educational concepts of schools and enterprises; the leading role of the government; the mechanism of the cooperation; cooperation resources. Solutions to resolve these problems include the following: First, the school and the enterprise should change the educational philosophy. Second, the government should play the leading role. Third, the mechanisms of cooperation should be improved. Fourth, the attraction for exchange reward should be enhanced.
