China has witnessed rapid economic growth since 21th century and its media industry has been growing fast as well.But at the same time,challenges are also being brought up into the media industry.For example,the international media tycoons start to acquire its home media companies.And against the competitive situation many home media companies begin to market at home and abroad to take the path of capital management.Some of them are planning to adapt the epitaxial growth mode of M&A to realize their tycoon dreams.BlueFocus Company is one of the most successful example of M&A.And it continues to complement the strategy of "endogenous + extension" after it was listed.Within 7 years,its total assets soared from 369 million RMB to 16 billion RMB in 2015.BlueFocus Company is heading to a bright future.Choosing the typical case of its acquisition of Bojie Advertising Company as the research object,this paper analysis the successful factors during this acquisition and aims to provide some theoretical and referential value for other domestic companies.In addition,market attention has been draw to the performance of M&A while the tide of M&A in C'hina's capital market keeps growing.This paper also analysis the performance during its acquisition of Bojie Advertising Company and finds the existing problems and puts forward corresponding countermeasures and suggestions in order to provide a reference for its future acquisitions.This paper consists of five chapters:the first chapter is the introduction,covering the purpose and significance of the research,the literature review related M&A,the main contents of the thesis,the introduction of specific research methods and the innovative parts and shortcomings of this paper;the second chapter is the overview of relevant theories of M&A,including its concepts,motivation,types,procedures;the third chapter is the analysis of the M&A case of BlueFocus Company,covering its acquisition background and object selection,the profiles of Bojie Advertising Company and its value.This chapter represents the whole process of the M&A case and the specific analysis;the fourth chapter focuses on the problems and countermeasures of' the case,this chapter is the core part of the paper.Based on the third chapter,the author further analyzes the problems and countermeasures and puts forward suggestions accordingly;the fifth chapter is the conclusion,the author revalues the M&A case and draws the conclusions in order to provide some referential significance for the domestic media companies.Many Chinese and western scholars have conducted a lot of research on the topic of M&A.But few of them did it from the perspective of the subdivision of stock market.Especially in China,there is even fewer related research going on as the growth enterprise market there is still premature.Therefore,applying the methods of the combination of theory and practice analysis,deductive analysis and inductive analysis,this paper chooses the M&A case of Chinese growth enterprise market as the starting point to explore the motivation and performance of the M&A in the growth enterprise market and draw some characteristic conclusion on the motivation of the growth of the listed companies in the growth enterprise market and the motivation for super raise funds which is the main contribution of this paper.This case study is only based on recent years,financial indicators and performance of BlueFocus Company.Also,it lacks of adequate data as for the analysis of the motivation and performance in the case and the author fails to cover all the aspects in the case due to the limitations of theoretical knowledge.These are the main deficiencies of this paper.
