With the rapid development of China's economy and the constant activity of the capital market,the number of domestic listed companies participating in mergers and acquisitions is increasing year by year.The purpose of enterprise merger and acquisition is to seek better development for itself,a successful merger can bring good synergy effect to the enterprise and enhance the overall strength of the enterprise,but the merger and acquisition is not only the second time can be successful,the failure of the merger and acquisition not only means that the resources invested in the waste,but also may drag down the overall follow-up development of the enterprise.Enterprises will face many risks in mergers and acquisitions,which are influenced by many factors.Whether an enterprise can correctly identify these risks and take appropriate measures to reduce the risk will be an important condition for whether it can achieve the acquisition objectives in the end.This paper uses the case analysis method,selected the case of the acquisition of Watma by Jianrivo,this case comes from the market hot spot in recent years new energy vehicle power battery industry.As one of China's strategic emerging industries,the overall development quality of the new energy automobile industry determines whether China can move from a big automobile country to a big automobile country.In recent years,the development of China's new energy automobile industry has made the world's attention to achievements,naturally also by the high attention of various capital,the birth of a number of representative mergers and acquisitions,this article selected case is one of them.In the course of research,the author first combined the relevant theories and methods of the cutting-edge literature on merger and acquisition risk to read and study,and then on this basis for the case of the acquisition of Watma in Jianlivon.This paper uses the process analysis method to identify the risk of selecting the target industry and the target company selection risk in the preparatory stage of the merger and acquisition,the valuation risk and the financing payment risk in the merger and acquisition implementation stage,the risk of strategic integration,the risk of human resources integration,the risk of financial integration and the risk of goodwill impairment,and analyzes each risk one by one.In addition,this paper also analyzes the impact of the gambling agreement on the risk of mergerand and acquisition signed in this merger.Then according to the above analysis,the risk prevention and control proposal sits at all stages of the merger.Finally,this paper expounds the enlightenment obtained through this case study for reference.
