Some latecomers acquire the resources of developed countries through cross-border M & A.Through cross-border M & A can help enterprises to change the plight of lack of internal resources,and help enterprises to improve their innovation ability and core competitiveness.It is found that the acquisition of knowledge resources is an important strategic goal for Chinese enterprises in cross-border M & A.Because most of the core knowledge is in the hands of the knowledge workers,the knowledge workers of the acquiree are the important carriers and sources of knowledge resources,and the smooth knowledge transfer and knowledge sharing of the knowledge workers can enhance the innovation enthusiasm and innovation ability of both sides of the merger and acquisition.Therefore,the governance integration of the knowledge workers after the merger and acquisition is very important for the realization of the strategic goal of the merger and acquisition.However,compared with the developed countries with advanced technology and management level,it is difficult for developing countries to get the obedience and support of the employees of the merged enterprises in the stage of M & A integration.At present,there are many cases in which Chinese enterprises acquire advanced technology through cross-border M & A,so it is necessary to conduct in-depth research on how to motivate the knowledge-based employees of the acquiree,so as to provide help for knowledge seeking cross-border M & A enterprises.Based on the ERG theory,this paper takes Sany Heavy Industry as the research object,analyzes the knowledge seeking M & A activities of Sany Heavy Industry,evaluates the innovation performance of Sany Heavy Industry after M & A,and discusses the mechanism and path of the impact of knowledge governance mechanism on the innovation performance of enterprises.In order to meet the core needs of employees,the enterprise encourages employees through four processes: personnel cohesion,organization equality construction,cross-cultural communication and development promotion.The knowledge governance of M & A focuses on the growth and mutual relationship of the knowledge employees of the acquired party,which matches their demand structure very well,thus forming an effective incentive.It is found that in knowledge seeking cross-border M & A,effective incentive to the knowledge workers of the acquiree can promote the innovation performance after M & A.This paper digs the path of the impact of knowledge staff motivation on innovation performance in late developing countries,depicts the role of knowledge governance process in meeting core needs,enriches the research on the path of incentive mechanism on innovation performance,and provides a reference for objectively evaluating the effectiveness of innovation decision-making and innovation behavior of enterprises.It is hoped that it can not be used in machinery manufacturing industry or other industries In the process of development,it puts forward constructive suggestions for the integration of M & a governance,and explores better M & A strategies and development paths for M & A enterprises.
