Enterprise is an open and dynamic system in the present market environment.The complex business circumstances,the strategic transformation and organizational changes force the enterprises to constantly adjust resources to meet the requirements of the development.Merger and Acquisition(M&A)is a very important way of resource adjustment.In the era of steady economic growth,many enterprises will use M&A to expand their scale in order to improve their competitiveness.At the same time,the enterprises with operation problems decided to strive for life through the way of being merged.M&A is particularly active in real estate industry,which is famous for capital-intensive.There are many kinds of it.Many M&A cases happened in group companies,city companies and project companies.Since 2016,China has put forward the requirements for the construction scale of characteristic towns,which is a plan to cultivate about 1,000 characteristic towns,nationwide leading the construction of small towns.A number of group property developers have set their sights on this area,hoping to acquire the second growth curve for enterprises.At the same time,a number of local companies have emerged in various places,one of which is Jiangxi Buffalo Pastoral Town.Located in Gao'an City,Jiangxi Province,Jiangxi Buffalo Pastoral Town has a planned area of approximately 22,800 acres.Relying on the local ecological environment,combine with the historical and cultural resources,the project integrates the advantages of agricultural demonstration,ecological education and rural tourism.After nearly 4 years' operation in local enterprises,the project has been ranked as one of the first eight pastoral complexes in China and the only 4A level scenic spot in Gao'an.Later,due to operational,funding problems and other issues,Bluetown Group,the leader in the construction of domestic small towns,finally joined hands with Greentown China to acquire 67% of its equity.Greentown China,Bluetown Group and Jiangxi Buffalo established the consortium to jointly develop the project.The project has signed a four-party cooperation agreement on June 3,2019,which was funded by Greentown China and Bluetown Group,and Bluetown Group sent a management team to operate the project.This article selects the M&A case of Jiangxi Buffalo Pastoral Town for research.With a full understanding of the current situation of human resources before the merger and acquisition,through comparison of cases and the actual situation,we proposed several problems in human resources integration.This paper mainly demonstrates the idea and concrete measures of the integration from three aspects: the integration of enterprise culture,the adjustment of personnel and organization and the integration of compensation and welfare system.In the process of corporate culture fusion,the significance of culture to the realization of corporate strategy and the role of culture in human resources integration after merger and acquisition are emphasized.In the adjustment of personnel and organizational structure,emphasis is placed on the retention of core personnel,the disposal of redundant personnel and other human resources reconfiguration;In the integration of salary and performance system,the incentive effect on employees is emphasized.According to the global case study of M&A,there are relatively few successful cases of M&A among enterprises,and most of them were ended in failure.The integration work after merger and acquisition is very critical,and the consistent values and tolerance are the important conditions for the success of merger and acquisition projects.Among them,whether the human resources integration is success or not become so important in the process.Through the study of many M&A cases,it is concluded that the success of human resources integration can not only improve the speed and effect of M&A,but also provide a strong guarantee for the final success of it.Through the research of this paper,we hope to provide reference for other enterprises or similar projects.Through the case study,it is helpful to further explore the theory of human resources integration.Meanwhile,typical benchmark enterprises are selected to analyze the deep-rooted reasons for their success in the integration of human resources,so as to provide certain reference for the managers and human resource workers in the later M&A projects.At the same time,get the human resource integration plan of Jiangxi buffalo pastoral town project,which is of great significance to the talent allocation and development after the merger and acquisition of buffalo project.Applying theoretical knowledge to analyze the problems existing in the original talent allocation and development of buffalo in Jiangxi Province,combining with the case analysis of successful implementation of talent strategy after M&A and the town talent allocation strategy of Bluetown group,this paper puts forward the human resource integration plan to adapt to its development.The research results of this paper will be applied to follow-up similar problems,and provide solutions for the human resource integration problems caused by M&A.
