The corporate culture is one of the objective social culture phenomena, The theory on the creation and development of the corporate culture is a contemporary revolution on the enterprise management. It was named "the spirit of the enterprise management",for it was the development and sublimation of the management thoughts and theories in modern industrial society experienced empiricism management,scientific management, behavioral science,modern management. It is very important to the enterprise field at present that improving the efficiency and the key competitiveness of whole enterprise, promoting the sustainable development of the enterprise, through strengthening the study on corporate culture and building the Chinese characteristic corporate culture.In the article I regard Marxism as guidelines and my tools are new institution economics in western economics. In this article I analyze the formulation of the corporate culture and explained the concept,basic content,function and theory of the corporate culture, introduce the successful case of the domestic and international enterprise's cultural construction. I explained the relation between the entrepreneur and corporate culture, the function to enterprise's management of the corporate culture by analyzing the corporate culture in economics manner. I offer that the corporate culture is the core competitiveness of the enterprise. I compared the enterprise culture patterns of U.S.A., Japan , western Europe, put forward for learning and consideration of Chinese characteristic corporate culture .I analyze and discuss the birth ,the conflict focus ,the difference of the cross-management in the cross-enterprise, in course of the economy of integration . The available mode of Chinese cross –cultural management is the strengthening of the cross –culture and improving of cultural management. I analyze the rising and the actuality of Chinese corporate culture and discuss the meaning, characteristic , principle , method and development prospect of the Chinese characteristic corporate culture. The full article is divided into six parts.Chapter 1, summary of the informal institution.New institution economics, refer to the contemporary western economics school which takes property right and institution as main research object. Some scholars called it the economics school of studying the institution question by the economics method too. Douglas · nos , its representative figure thinks " the institution is a series of morals ethics norm of the rules ,procedure and behavior , It aims at restraining the personal behavior that pursuing the welfare or the max interests ". He divided the institution into the formal and informal one, The informal arrangement is that in the kind of institution the change and modification of the regular are the personal behavior completely it is no need and can not be finished by group behavior. Some cultural things are so-called informal institutions, e.g. the custom, tradition, morals ethics, consciousness. In this article I research the corporate culture with new institution economics of western economics. I have established the theoretical foundation of the whole article by explaining the Content and arrangement of the institution, the relation and changes way of formal institution and informal one.Chapter 2, general outline of the corporate culture.I start with analyzing the background of the corporate culture, and introduce four works that the American scholar wrote ----the corporate culture " quartet", the symbol of the corporate culture. I studied and analyzed the content of the corporate culture, I put forward the concept of the corporate culture after introducing the different thought about the concept of the corporate culture between Chinese scholars and western scholars: The corporate culture was taken shape and fostered progressively in the long-term course of production and management by enterprise as the economic organization.
