This paper consists of case and case analysis.The case introduces Keyuan corporation's background and its ongoing appraisal and income distribution reform. Keyuan is a subsidiary of Guangzhou Nanfang Telecommunication Equipment Ltd. , and aim to become a member of stock market. The CEO of Keyuan pursues the reform of performance appraisal and income distribution. But the reform is opposed by the employees during the period of carrying out and resulsts to the resign of many managers.The case analysis has four parts. First, the writer makes an analysis for the thought of the reform by theories of modern HRM and points out the goal of the reform is to incite the employees through the performance management. Second, the writer makes an examination for the reliability and reality of the appraisal results by data analysis. Third, using the technique of causation diagnosis to analysis the reason of the variable of the appraisal process. The last part is a modification of the appraisal method. Here, the writer gives some ideas of separating the performance appraisal and character appraisal, the result of character appraisal will not have relation to material awards and prolonging the period of the proportional supersede, etc.
