While entering the WTO ,the competition from aboard will be more ferocious,and every market will be effected seriously. How to find and choose the development way suiting ourselves is a stringent problem when facing the strength advantages of oversea companies on management,finance and technology. Under this situation it is a good choice to merge with related enterprises into a company group in order to integrate the different advantage. The benefits from large scope,coverage,network,co-operation,integration will enhance the competitive-ability in international market dramatically,which will contribute our country's industrial reengineers and upgrade.The current theories about the company group focus on its development model,establishment,running about oversea and domestic company group,especially structure,organization and ex-environment. There is not a mature theory to apply when it is difficult to make choice between integration and various-orientation. The problem of company group development is becoming more urgent as time goes away. All above are the problems encountered by related institutions and companies.The study focuses the analysis of the company group development problem while applied the oversea advanced theory achievements such as core-competence. It launches several integration models for company groups such as horizontal various-orientation,vertical integration,strategy alliance,etc. Basing on the analysis about the various-orientation and specialization from a new angle,it provides easy measurements to coordinate and control company groups' businesses.In the section about the choice of company group developing strategy,the background,identification,cultivation,plan and application of core-competence theory are studied,which originates from the flaw of traditional industrial theory. The plan of companies should be formed as following process,!.resources 2.abilities 3. core-competence 4 industrial absorb-abilities 5. establishment and enact ion of strategy 6. high level benefits. The measurement of identification,cultivation and plan of core competences are studied in details. There is a innovation about the application of core competences. After analyzing the deep reasons of false about various-orientation,it offers a way to explore the business basing on the familiars among resources rather than products,and details this kind of valuable resources in order to identify easily. It is very creative.In the section about the merging models of company groups,several main models are studied,such as vertical and horizontal integration,strategy alliance,while applying core competence theory. The advantages and disadvantages and influent factors of vertical integration,the analyzing models,the regulation of different various-orientation,the models and motivation of strategy alliance and the construction and management of strategy alliance are studied in this section.The key to succeed and the sensitive problem when applying these several models are analyzed in order to oiler perfect theories and studying models. The innovation of this section is the analysis the conflict of various-orientation and specialization. In a company group developing process various-orientation will convert into specialization eventually. Firstly getting the developing opportunities and cultivation of core competences is the aim of the various-orientation. But after identification the main of work is the cultivation and strengthen of core competence. While the core competence is established,it ought to be extended for its characters of expansions. Because the changes of core competence,various-orientation and specialization are developing respectively. It is not reasonable to think that various-orientation is better than specialization for each one has its own characters,it depends on the developing stage and industries.
