Ethics is ubiquitous and deeply affects people's behavior and perceptions. Senior managers of the state-owned enterprises (Sues) are located in the highest levels and the core position of the organization. They are the soul of the business and leadership and play a decisive role in the level of the organization's ethical quality. The capacity of scientific development, the ability of enterprises to adapt to environmental changes, and the extent of doing business according to appropriate ethical standards and social norms are closely connected to the ethical quality of Sue's senior managers. Over the years, most of the research on Chinese SOE's reform and development are mainly from the angle of property rights and institutional mechanisms while the ones from ethical perspective of senior managers are rare to see. In reality we find out that there are great differences on reform and development of Sues in the same industry with the same property rights system and institutional mechanism, or even under the similar conditions of resources. Some are very sound and healthy, while the others are on the contrary. Thus we find that property rights and institutional mechanisms are not the decisive factor of Sue's reform and development. These differences are closely related to the level of ethical quality of the senior managers. From the past experience of many domestic and international large business groups, we can see that the ethical quality of business executives largely determine the level of the enterprises' survival and development. Then the study into the ethical qualities of the Sue's senior managers has the important theoretical and practical significance. Based on the above thinking, the paper launched this study and hope to give the public a train of thought and inspiration. This paper argues that to improve the ethical quality of the senior managers is bound to influence their behavior, greatly stimulate their passion for work and further accelerate the development of state-owned enterprise in the long run. This paper consists of four parts. The first part is an introduction, which includes the questions to clarify, the significance of the research, the research contents and methods with a brief review of the popular theories of this subject at home and abroad. The second part focuses on the meaning of Sue's senior managers'ethical quality, the practical significance of this study, the consequences and challenges of improving the ethical quality of the top managers. The third part, from an empirical point of view, analyses the current situation of the ethical quality of senior managers of the Sues, pointing out the reason why a small number of the managers are not satisfying in ethical quality. The fourth part discusses the way to build up high ethical quality of senior managers of the Sues. Obviously, the second, third and fourth part is the main focus.
