Health, swift development of a nation's retail business is based on company scale which has a reasonable structure. Retail companies of China in age of planned economy which catered residents' needs had more area limitations, but less trans-regional operation. That led to a mount of small-scale retail companies and shop groups which adopted the fashion of disperse operation, resulting in difficulties in effective resources restruction. It took retail business only 20 years to make a great achievement, which developed countries spent hundreds of years on making it, since reform and opening to the outside word. Dual structure of economy, unbalanced economy development provides a large space for verity of business.Our nation has comprehensively opened retail line at the end of 2004 according to the promise we made in WTO. China has become the valuable market which multinational retail magnates aim at, as they overwhelmingly rush into out market. The. problems of circulated companies, such as: small-scale, low-extent in intensiveness, weakness in compaction, poor level in information and management is becoming more and more manifest, compared with multinational retail magnates. Today, our retail business has a desire to restructure with the purpose of becoming powerful, dealing with the fierce competition. However, "most of companies have not gotten the valuation they expected after reengineering, resulting in unexpected problems" (Huang Guowei). Much work is superficial as retail businesses are chasing scale-extension, but ignore insider constriction, In this case, the theory of merging is essential facing large-scale reengineering, especially, the restruction of company culture after merging.The work firstly introduces the theories of merging, company culture, retail business, and then put up with the thinking and methods of research.In Chapter Ⅱ, the work involves in the trait and reasons of merging of international retail business, and introduces the merging in China market.ChapterⅢ analyses the situation and reasons of local retail business merging. It is not only a positive adoption to outer environment, but also insider requests of getting verity of effects. The merging questions of local business through which we show our concerns on such a fact that the after-effects are increasingly manifest after merging, as the local retail business merging still stays at the level of simply added, are also involved.The fatal problem is how to achieve the culture restruction and benefit improvement after merging. ChapterⅣ analyses the difficulties, situation of local retail business merging.Chapter Ⅴ analyses primarily on aspects of substance culture, system culture, and spiritual culture and so on, advancing response strategy and feasible proposals.In Chapter Ⅵ, the thinking of culture restruction in small-size retail companies is put forward. We have to construct local-characteristic retail culture because of national condition, and also, raise construction contest and thinking of retail commercial culture.
