With increasingly fierce market competition,organizational networking is extending into every level of economy and society. It is because non-cooperative behavior under the background of the complete market and individual action under the background of separation of authoritative relation in hierarchical organization can not realize benefit maximization. Actor's choice is rational only by cooperation. The organization can keep development stable and long only by establishing and expanding network relationship.The paper, by using the social network theory and the rational choice theory, adopts qualitative research method to make a descriptive study of mode changes of milk source base in T Banner of Hohhot. According to tracking the trajectory of formation and transformation of dairy enterprise network organization, we could discover the influence on actor interaction internally and institutional background externally. We have found that, in order to avoid opportunistic behavior in the trading process, cooperators should do an irrevocable joint venture, which is the key of having close relationships for network organization.So we can see cooperative organization, a kind of network organization, which is both the most stable form and the most effective structure that can avoid opportunistic behavior based on interest sharing and risk sharing.Furthermore, institutional background is a necessary factor for the formation and transformation of dairy enterprise network organization. Network members can make a good cooperative interaction, posses a stable network relationship and realize a win-win result on condition of institutional safeguard provided and the third strength being existing.
