Colleges-Local government Research Institute(CLRI) model as the latest model, in addition to the general characteristics of University-Industry-Government(U-I-G) cooperation, but also reflect the cross-regional, clustering and other new features. This model have been put into practice for the local economic transformation and industrial upgrading in many areas, and it has made important contributions. Besides the great achievements, we also note that there are still many aspects of issues in the cooperation. From the cooperation mechanism as a starting point, to find the reasons of the problem of management, the distribution of benefits and other aspects, and to make them perfect, which is the value of this study.Introduction part begins with the background, systematically combings the research literature home and abroad, then make the focus of this study. Besides the article described the concept of the university -government institute and the evolution, and classified this Patterns with different classification. then describes the status of the development of this model both in Guangdong Province and Suzhou City, and make a detailed research program on this basis.The second part introduces three basic theory- theory of open innovation, national innovation theory and the triple helix-which the research based on.Followed, the article elaborated discusses the cooperation mechanisms of the dynamic mechanism and benefit distribution mechanisms and briefly introduces the legal restraint mechanisms, management and protection mechanism.The third part take the Suzhou Institute of Southeast University as an example, analysis the functional position, the main operating mechanism, multi-stakeholder relationship, Then select three schools-Stanford University, University of Tsukuba in Japan and the University of Warwick for example, analysis of the international experience gained in this similar model.The fourth part, combined with field research in the interview, the gap compared with international experience, to determine the main problem existence of the cooperation mechanisms that is both the role of government and university are not clear. To solve the problem, absorb multiple perspectives, the article put forward some recommendations both from the perspective of the government and universities.The research methods used in this paper is mainly literature analysis and case studies, read more literature and research through field visits and interviews to obtain more valuable first-hand information. Which Findings of this study is that government is the founder of this cooperation mechanism, and the biggest beneficiaries, but also to contain the sound operation of the mechanism of this cooperation. We should balance the interests between universities, government and business of this mechanism.
