With the acceleration of world economic integration and the coming of the knowledge economy era, human resources have become strategic resources for the development of the modern enterprise. Incentive, as the core of modern management, has become the important part of human resources management. Incentive talent in science and technology enterprises has become increasingly important. Competition in the market and competition among enterprises, in the final analysis, is talent competition. This has become the common understanding of all managers. How to create an effective incentive mechanism, so that employees can exert their full potential, thereby enhancing the core competitiveness of enterprises, have become the key issues of modern enterprises, especially the high-tech enterprises.The incentive mechanism based on the characteristics of the enterprise can help improve the employee's enthusiasm and their loyalty to the enterprise; can help keep the vitality of the enterprise; can create the greatest value for the enterprise development. How to create the incentive mechanism based on enterprise's characteristics is the subject of this dissertation. Based on the main foreign incentive theories, combined with the predecessor's research results, and setting the Civilight Shenzhen Semiconductor Lighting Co., Ltd. as the research object, this paper firstly described the basic idea and the main incentive theory of motivation, and then analyzed the present situation of the company's human resources and incentive mechanism; find out the problems in the pay system, performance appraisal system, training system, and career management system of the company, Lastly proposed the company's incentive mechanism optimization programs based on the social economic and industry conditions, and described the major principles and safeguard measures to implement the incentive mechanism.
