Create value is the constant pursuit of all enterprises. Mergers and acquisitionsbrings the boost of efficiency,increased performance,increased profit to enterprises whichlet it be consistently favored. With the development of globalization of markets andeconomic, A new management and market environment appeared to the enterprises.Toface the fierce competition in the new market environment,, the enterprise will alwaysturn to M&A this external expansion way to seek for survival and development.Therefore, the M&A between enterprises heat up,the number and scale has been present arising trend,and turnovers are reached record high,including domestic and multinationalmergers.Although create value is the constant pursuit of the enterprises, but the value isdestroyed is a common thing.The reasons of failure to enterprise merger are complex,thelack of effective culture integration between different enterprises is one of the keyreasons. Through the analysis to success factors and failure factors of enterprisemergers,we found that effective culture integration is third in the successful promotefactors of M&A.and it’s the first factor in leading to the failure mergers.According torelevant statistics,more than80%directly or indirectly caused from the failure cultureintegration in the failure cases.In1996the report from the British managementassociation point that the cultural difference is the main reason for the failuremergers.So,effective cultural integration is the key to the successful merger.This paper is divided into five chapters. The first chapter is the introduction,including the the purpose and significance of the study, research approaches and basichypothesis; the second chapter is the premise of the basic theory, discussing the conceptof Corporate M&A, cultural integration, and the motives and inevitability of CorporateM&A as well as the features of cultural; the third chapter focus on the process ofintegration and the culture conflicts exist in the integration process; The forth chapterboils down to the enterprise mergers of our country,including the current situation of ourcountry’s enterprise mergers,the reasons of the failure and the revelation of we get. Thefifth chapter is the performance evaluation of cultural integration. This chapter based onthe fuzzy mathematics method to establish the enterprise culture of fuzzy mathematic comprehensive evaluation model. and analysis combine the case about merger, whichoffered a useful reference method to system analysis of culture and and comprehensiveevaluation.
