Under the comprehensive influence of industrial structure evolution, technologydiscontinuous changes and economic pattern changes, both capital and labor-thesetwo traditional production factors-cannot escape the law of diminishing returns,knowledge has become a real capital and primary production factors in knowledgeeconomy era. This economic situation ask Chinese enterprises which are in theextensive development mode-in the downstream of industry chain and to achievegrowth by high resource consumption-to transformation imperatively.As Knowledge is the primary production factors, whether knowledge transfersuccess fully or not determine the success of enterprise transformation directly.Therefore, the effective and smooth knowledge transfer has become the only way torestructrure the core competitive ability, stabilize and expand its competitiveadvantage, finally realize the goal of enterprise transformation as well as to changethe mode of economic growth. However, the characteristics of knowledge andbounded rationality and self-serving of knowledge source and knowledge receptorbring certain difficulties to knowledge transfer, which have far-reaching influence onthe process of enterprise transformation. Therefore how to stimulate knowledgetransfer as to achieve a smooth transition and to gain a competitive advantage hasbecame an important research theme.This paper dissects connotation of enterprise transformation, and put forward acategory division to the transformation of company by vertical integration,horizontal integration and mixed integration, then explores the Knowledge Transferfeatures in enterprise transformation as well as finds out difficulties in enterprisetransformation. And then analysis knowledge transfer in enterprise transformation bytheory of evolutionary game, design the total salary incentive mechanism ofknowledge transfer, And through systems analysis and research under theperspective of knowledge transfer willingness, knowledge stock, trust mechanismsto design incentive mechanism, and give countermeasures and suggestions to different types of knowledge transfer, Finally, based on the theoretical research,Combined with a particular enterprise to verify the theory and method of this article.This study is supported by the national social science fund project "enterprisetransformation in knowledge transfer model and its application research"(11BTQ027).
