In this paper, the use of "independent college" is defined the concept of education by the statelaws and regulations policy, refers to the implementation of undergraduate education of common collegesand universities cooperation with social organizations or individuals other than state institutions, with theimplementation of the non-state financial funds, it holds bachelor degree education of institutions of higherlearning. Nowadays, our country has entered the stage of popularization of higher education, thedevelopment of higher education will mainly move from scale expansion to quality improvement. However,in the process of popularization of higher education, the independent college is formed with "excellent,alone, by the people" the advantage of the rapid development, due to the unclear property rights, imperfectinternal governance, the unclear training goal, fuzzy localization development and other reasons, theindependent college is facing with a historic choice: is to private colleges, or return to the mother university,or eliminated by the market?Through integrated analysis of the problems in the process of development of independentcolleges, it can be found that, which lead to its various advantages to ineffectively play, the key reason liesin its imperfect internal governance mechanism. Therefore, from the mechanism research of the universityinternal governance, we actively explore the independent college’s internal governance, mode of currenttheory and practice of higher education development in our country is of great significance.In this paper, using the methods of literature analysis and comparative analysis, studying internalgovernance status of independent college as the center, starting from the practice of independent colleges,combining the theory of governance, the comparative analysis of new university (college) characteristics ofinternal governance in the process of the popularization of higher education both at home and abroad, fromthe management system arrangement, the analysis of system structure, operation mode, we explore goodinternal governance mode of the independent college.The first chapter: introduction. In the introduction part, first of all, this study pointed out theexisting problems in the development of independent college which is not allow to be ignored, and thenthrough the brief review of related literature at home and abroad, the study puts forward the innovation, further expound the conception and structure, etc.The second chapter: development and current situation analysis of the independent college.According to characteristics of the development of independent colleges, the study reviewed their threehistorical process, such as, experiences from the longitudinal germination and emergence, rectifying andstandardizing, restructuring and developing, and analyses the outstanding problems of internal governancein which the independent colleges developed, sorted out, director system is not sound, the property right isnot clear, it is difficult to guarantee quality of running a school, also exiting mechanism is imperfect, and soon.The third chapter: investigation and analysis of the new university (college)’s internal governancemode in China America and India. Operating to the worldwide, we take the experience in the process ofpopularization of higher education at home and abroad for reference, and analyses the community collegesin the United States, affiliated colleges in India and private colleges in our country, finally summarize thedifferent experience of internal governance, the applicability of independent colleges in China.The fourth chapter: in the perspective of stakeholder theory, constructing independent college’sinternal governance mode. From the perspective of stakeholder theory, we analyze its applicability ofinternal governance in independent college, and its four stakeholders (board of directors, administrativepower and academic power, student power) one by one for analysis. Then, through its transition from thestudy of independent college’s internal governance to the good internal governance patterns building, thestudy is proposed to reach the independent college’s good condition and countermeasures of internalgovernance, lead to the formation of co-governance model.
