With the national attention to the vocational education, higher vocational education in our country is booming, new mode of running a school emerge in an endless stream, but under the impact of the market economy, some traditional ways of running schools such as industry education is unable to adapt to the changes in the education market. And the industry running as the most cutting-edge dynamic development of the industry, if cannot survive in the fierce market competition, the advantages are no longer existing, and the loss is huge.M Vocational College is such a higher vocational college which had years of industry experience in running a school, since once had deviated from the direction of vocational education, its organizational structure caused survival problems because of the hybrid system and mechanisms rigid when stepped into the education market once again. This paper, uses the organizational structure theory and principal-agent theory, proposes solutions to the college situation, and has a realistic significance to other industries in similar circumstances multaneously.Firstly, through the introduction of institutional evolution, described the status from the aspects of the institutions and personnel, this article analysis the existing problems mainly including hybrid system, mechanism rigid and development train of thought is not clear, and points out the problem of system is the fundamental source of all the problems in college. Then the college’s restructuring scheme was raised, by way of separation between government and college separately, with principal-agent theory for security, the qualitative analysis of the factors affecting the organizational structure of the college was carried out. The results show that the strategic factors have a significant impact on the organizational structure. To adjust the organizational structure of the college, we must first make the development strategy of the college. Therefore, through the improvement of analytic hierarchy process to SWOT analysis, the development of the college strategy in the next step was made. The results show that the college need to address the following issues in next phase as follows:1.Optimized management structure,2. Set up a college brand,3. Highlight the teaching characteristics,4. Improve teaching quality. On the basis of this, use the analytic hierarchy process to sort the factors that affect the organizational structure of the college once again. The total orderings show that the main factors that affect the organizational structure of the college are as follow:1.programme for human talents development,2.Speed up the development of modern vocational education strategy,3.level of management,4.whether the college has the decision-making power and personnel rights. Finally, according to four principles:1.take the teachers as fundamental; 2. Take the knowledge as center; 3. with ordinary adaptation as the criterion; 4. with flexible mobility as a feature, we re-constructed the organizational structure of M Vocational College.Researches on restructuring of M Vocational College not only have a significant impact to straighten out the college’s relationship, but also provide some ideas to the units which still face difficulties of systems and mechanisms in industry school, and help the development of higher vocational education.
