During the 30 years’ reform and opening up, especially under the macro background of the economic and social development in the new century, the school-enterprise cooperation mode of TVET (Technical and Vocational Education and Training) has been established in China, which takes the tenet of service and the guidance of obtaining employment. The establishment of this mode points out the direction of TVET. However, the system and mechanism to ensure that the mode is implemented effectively haven`t been really set up, which has become the core and focus of many problems and issues in school-enterprise cooperation. Therefore, it is very important for the school-enterprise cooperation as the establishment of system and mechanism which related to the stable cooperation and sustainable development.Based on Chinese present situation of TVET and foreign experience for the TVET, the thesis focuses on the system and mechanism of the school-enterprise cooperation, in which the relationship between school and enterprise is run through. From the angles of pedagogy, economics and management sciences, the approaches, such as literature analysis, historical review, comparative method, questionnaire survey and so on, are used. Linking up quantitative and qualitative, deductive and inductive, theorywith practice, the features of the system and mechanism, home and abroad, have been analyzed. It is necessary to build the system and mechanism of the school-enterprise cooperation compatible with the specialization of skilled human capital. The results of research mainly reflect on the following three aspects:Firstly, the thesis summarizes the past and present situation of the cooperative system and mechanism on our country, analyzes the current problems in this aspect and puts forward the developing trends of the relationship between school and enterprise.Secondly, it is by the stakeholder theory on building up the stakeholder’s evaluation model of GRA (Grey Relational Analysis) to clarify that the skilled human capital is the join point between school and enterprise and to demonstrate that schools of TVET are one of the potential and important stakeholders of enterprises. In light of human capital theory, a new concept, called "Specialization of Skilled Human Capital", is proposed. This concept shows that school and enterprise are two main parts in the course of specializing for the skilled human capital. The relationship between two bodies are indispensable and irreplaceable. There are several features, such as integrity, relational, specificity and profitability, in the specification of skilled human capital. Consequently, the theoretical framework based on the relation between school and enterprise is built.Thirdly, it is established that the new system-mechanism framework of the TVET school-enterprise cooperation on public governance theory and system theory. The framework includes macro organization structure, decision-making and operation mechanism. Relevant policy suggestions are provided for forming a new idea on the cooperation between schools and enterprise, strengthening the top-down design, consummating the national system, establishing a coordinative mechanism between the ministries of education and industry, improving the guarantees system of multi-channel investment with the government investment as a main channel, and making the scientific research perfect in school-enterprise cooperation of TVET at last.
