Entering the 21st century, there are three noteworthy characteristics on internal and external economic development: Internal economy transition, economic globalization and entering the times of knowledge based economy. Those transformations bring up sharp challenges to Chinese enterprises. The knowledge economy is calling on the naissance of new management conception and the corporate culture construction that fit the demands of it. The theory of enterprise culture that is emerged in the fierce market competition is applied far and widely in China. This article investigated corporate culture in China and presents some valuable suggestions by comparing the corporate culture between China and American.The first chapter described the characteristics of corporate culture, and defined corporate culture through studying internal and external relative theory, brought forward framework and theoretical basis of corporate culture by summarizing these theories.The second chapter presented the meaning and described some characteristics of knowledge economy, and thought the rising of knowledge economy throughout the world had brought up great environment change of enterprise management. These change will influence corporate culture immensely, and impel it innovate continually. In following page the author demonstrates the challenge brought up by resource environment, technology environment and market environment in the era of knowledge economy. At last, some principles must be followed during the construction of innovative corporate culture including fused multicultural principle, human based principle and individuation and temporal spirit principle.The third chapter of the article compared the present corporate culture situation of China and American in detail from seven parts. They are values of enterprises, decisive methods, management concept, management characteristics, human relations, relations of enterprises and society, and enterprise concept, which form the base for learning to construct China corporate culture.The forth chapter presented that enterprise culture management is the effectiveway for realizing the modernization of enterprise, and brought up general concepts for construction of corporate culture in the era of knowledge economy. To construct learning style enterprise is very important, the article put forward the characteristics, development stage and some suggestions of learning style enterprise. It's very essential to innovate corporate culture, and the paper analyzed how to innovate it from the view of ingredient of corporate culture. The construction of corporate culture should base on human resource, and only by human resource strategy can the enterprises promote their competitive power. At last, the article emphasize the importance of evaluating corporate culture and thought we should consummate the evaluation system during the practice of corporate culture construction.
