In the paper, literature, comparative analysis, comprehensive combining multidisciplinary research methods were utilized and property rights , principal-agent, transaction cost, stakeholders and other basic theory were also based on. The object of this study is to put our public university internal governance structure as an open system, using the governance of the theoretical framework of the system to survey the relationship between each stakeholder. And based on the above survey, the vision had been expanded to the international higher education developed countries of the world; the internal governance structure has been mirrored to study the universities' internal governance structure in our country.Through the study, we can conclude the Chinese public university internal governance problems mainly as following. The university laws and regulations which act as the rules between the stakeholders are weak, and it is difficult for the university to form effective self-discipline and supervision mechanism. As one of the university regulators and stakeholders , the political power of the government directly participate the whole role of internal management of the university, not only as manager role and not only the management participants; As the university organizations and important stakeholder, the teachers and scholars are not fully reflect their power, and it is directly weaken the academic power of them. As the agent power, the administrative is often seriously offside. The administrative tendency of the university seriously affects the development of the academic. Supervision mechanism of campus is often formally, decision-making in the university is highly centralized , and the board of directors system (BOTS) is defective. All of these make the power restriction and supervision weak and it lead to Campus economic corruption occur frequently. University President administrative is appointed and failure to form a system of professional principal selection.This research provides some countermeasure to perfect our country's public university internal governance structure. It can be illustrated as following. The first thing to do is to form and perfect University charter. It is the basic and guarantee of our public university internal governance structure. Reform the existing centralized. Decision-making mechanism is another important thing. We should focus on the opinions of stakeholder in the school decision-making, strengthen and improve the BOTS construction, construct professor research mechanism based on committee form. Construct harmonious coexistence of border clear and slam the power system, abandon administrative, strengthen ideological and avoid the specialization of administrative, strengthen personnel team construction, and gradually build and perfect university President Selection system. Perfect financial budget and auditing system, establish the general accountant system, the financial information disclosure system and prevent campus corruption. Build the culture atmosphere of the modern university system, and which will lay the foundation of cultural conditions for effectively internal governance structure in the university.
